ELIZABETH THE SECOND
by the Grace of God of the United Kingdom of Great Britain and Northern Ireland and of Our other Realms and Territories Queen, Head of the Commonwealth, Defender of the Faith:
TO ALL TO WHOM THESE PRESENTS SHALL COME, GREETING!

WHEREAS by a Royal Charter dated the twenty-seventh day of May in the year of our Lord One Thousand nine hundred and fifty-three (hereinafter referred to as “the original Charter”) We were pleased to constitute a body politic and corporate by the name of “The Faculty of Radiologists” with perpetual succession and a Common Seal:

AND WHEREAS We were pleased to grant to the said body a Supplemental Charter (hereinafter referred to as “the First Supplemental Charter”) dated the twelfth day of February in the year of our Lord One thousand nine hundred and seventy-five for the purpose (inter alia) of changing its name to “The Royal College of Radiologists” (hereinafter referred to as “the College”):

AND WHEREAS a Petition has been presented to Us by the College humbly praying that We would be graciously pleased to grant to it a further Supplemental Charter for the purpose (inter alia) of reflecting the growth in the activities undertaken by the College:

NOW THEREFORE KNOW YE that We, having taken the said Petition into Our Royal Consideration of Our especial grace, certain knowledge and mere motion have granted and declared and by these Presents do for Us, Our Heirs and Successors grant and declare as follows:

1. The provisions of the original Charter and the First Supplemental Charter (including the Schedules thereto) except in so far as they incorporate the College, authorise the College to have a common seal and to sue and be sued, and declare the name of the College, are hereby revoked; provided that this revocation in part of the original Charter and the First Supplemental Charter shall not affect the validity or legality of any thing done or executed or of any dealing in property or of any investment made under any of the revoked provisions of the said Charters.

2. In this Our Supplemental Charter:
(a) “clinical radiology” means the use of radiations (both ionising and non-ionising) and associated techniques in the investigation, diagnosis and treatment of disease;

(b) “clinical oncology” means the management of patients who have or who may have cancer using radiation and other appropriate methods of treatment;

(c) “the By-Laws” means the By-Laws set out in the Schedule to this Our Supplemental Charter as amended from time to time as hereinafter provided;

(d) “the Trustee Board” means the Trustee Board of the College referred to below and as from time to time constituted in accordance with the By-Laws;

(e) “the Council” means the Council of the College as from time to time constituted in accordance with the By-Laws;

(f) a “Special Resolution” means a resolution of a General Meeting of the College of which not less than fourteen days written notice has been given to those entitled to such notice and which has been carried by a majority of not less than two-thirds of those voting in accordance with the By-Laws;

(g) words importing the singular number shall include the plural and vice versa.

3. The objects of the College shall be to advance the science and practice of clinical radiology and clinical oncology.

For the purpose of attaining the aforesaid objects but not further or otherwise the College may exercise the following powers:

(1). to further instruction and training in clinical radiology and clinical oncology, and to undertake regular audit of training and practice, where appropriate in association with other bodies;

(2). to conduct examinations and award Certificates and Diplomas, whether in Our United Kingdom or elsewhere, and to provide, maintain and equip lecture theatres, libraries and rooms, and to establish lectureships in clinical radiology and clinical oncology and award prizes and scholarships; provided that no Certificate, Diploma or other like award issued by the College shall contain any statement expressing or implying that it is granted by or under the authority of any Department or Authority of Our Government;

(3). to diffuse information on all matters affecting medical science and in particular clinical radiology and clinical oncology and establish, print, publish in any form, issue and circulate such papers, journals, magazines, books, periodicals and publications and hold whether in Our United Kingdom or elsewhere such meetings, conferences, seminars and instructional courses as shall be necessary to attain the objects or be in any way beneficial to the work of the College;

(4). to encourage the development of clinical radiology and clinical oncology and to further public education therein;

(5). to maintain the highest possible standards of professional competence and practice in clinical radiology and clinical oncology, and to act as an authoritative body for the purpose of consultation in matters of public and professional interest concerning clinical radiology and clinical oncology;

(6). to promote study and research work in clinical radiology, clinical oncology and related subjects, to publish the results of such study and research work, and to assist any persons to undertake such study or research work or to attend meetings connected with the objects of the College;

(7). to establish and promote Faculties of the College and, where appropriate, Intercollegiate Faculties with other Medical Royal Colleges or their Faculties, in accordance with the provisions of the By-Laws;

(8). to make or carry out any arrangement for joint working or co-operation with any other organisation carrying on work similar to any work carried on for the time being by the College;

(9). to grant sums of money out of the funds of the College for the purposes or for the promotion of the objects of the College;

(10). to borrow and raise money as permitted by law with or without security for the promotion of the objects of the College;

(11). to acquire, sell, lease, manage, mortgage or deal with any property or right of the College in any way permitted by law;

(12). to manage the investments of the College in any way permitted by law;

(13). to undertake and execute any charitable trusts which may lawfully be undertaken by the College;

(14). to establish and support or aid in the establishment and support of any charitable associations or institutions and to subscribe or guarantee money for charitable purposes in any way connected with the purposes of the College or calculated to further its objects;

(15). to do all such other things as shall further the attainment of its objects.

4. The income and property of the College whencesoever derived shall be applied solely towards the promotion of its objects, and no portion thereof shall be paid or transferred directly or indirectly, by way of dividend, bonus or otherwise by way of profit, to the members of the College; provided that nothing in this Article shall prevent the payment in good faith of proper remuneration to employees of the College (not being members of the Trustee Board) or to any member of the College or any other person for services actually rendered to the College; and further provided that the Trustee Board may purchase indemnity insurance for members of the Trustee Board and members of Council out of the funds of the College. This insurance shall not extend to:

(a). any claim arising from any act or omission which the members of the Trustee Board or the members of Council knew to be a breach of trust or breach of duty, or which was committed by the members of the Trustee Board or the members of Council in reckless disregard of whether it was a breach of trust or breach of duty or not; or

(b). the costs of an unsuccessful defence to a criminal prosecution brought against the members of the Trustee Board or the members of Council acting in either capacity.

5. (1). There shall be such classes of members of the College, comprising Fellows, Honorary Fellows, Members, Honorary Members and Associate Members of the College, as the By-Laws shall prescribe. The qualifications, manner and terms of admission, rights, privileges and obligations of each class of membership and the disciplinary arrangements to which members shall be subject shall be as the By-Laws shall prescribe. The By-Laws may prescribe postnominal designations by which members of each class may be designated as belonging to the College. No other postnominal designation to indicate a class of membership may be used.

5. (2). The Fellows, Honorary Fellows, Members and Honorary Members of the College as at the date of this Our Supplemental Charter shall continue as such and the Associates of the College as at such date shall be redesignated Associate Members.

6. (1). The management of the College shall be vested in the Trustee Board constituted in accordance with the By-Laws. The President, Honorary Officers and Members of the Trustee Board shall be elected and hold office in the manner prescribed by or in accordance with the By-Laws. The Trustee Board shall administer the affairs of the College in accordance with this Our Supplemental Charter and the By-Laws and shall exercise such powers and do such acts and things as may be exercised or done by the College and are not by the provisions of this Our Supplemental Charter or the By-Laws directed to be exercised or done by the College in General Meeting.

6. (2). The President, Honorary Officers and members of the Trustee Board in office at the date of this Our Supplemental Charter shall continue in office for the term for which they were elected or appointed.

7. The Trustee Board may from time to time appoint such Patron or Patrons of the College as may accept the invitation of the Council to take such appointment.

8. The affairs of the College shall be managed in accordance with the By-Laws which shall remain in force until amended, added to or revoked by a Special Resolution at a General Meeting of the College; provided that no such addition, amendment or revocation shall be repugnant to the provisions of this Our Supplemental Charter or shall take effect until the same shall have been approved by the Lords of Our Most Honourable Privy Council of which approval a Certificate under the hand of the Clerk of Our said Privy Council shall be conclusive evidence.

9. The College may at any time amend, add to or revoke any of the provisions of the original Charter or of this Our Supplemental Charter or of any Supplemental Charter which may hereafter be granted to the College, by a Special Resolution at a General Meeting of the College and any such amendment, addition or revocation shall, when allowed by Us, Our Heirs or Successors in Council, become effectual; provided that such amendment, addition or revocation shall not enable the funds of the College to be applied for non-charitable purposes.

10. The College may by a Special Resolution passed at a General Meeting specially summoned for the purpose surrender the original Charter, the first Supplemental Charter, this Our Supplemental Charter and any further Supplemental Charter, subject to the sanction of Us, Our Heirs or Successors in Council and upon such terms as We or They may consider fit, and wind up or otherwise deal with the affairs of the College in the manner directed by such General Meeting or in default of such directions as the Council thinks expedient having due regard to the liabilities of the College for the time being.

11. If the College is wound up or dissolved and after all its debts and liabilities have been satisfied there remains any property whatsoever, it shall not be paid to or distributed among the members of the College or any of them but shall, subject to any special trust affecting the same, be given and transferred to some other charitable institution or institutions with objects similar to the objects of the College, and which prohibits the distribution of its or their income and property among its or their members to an extent at least as great as is imposed on the College under Article 4 hereof, such institution or institutions to be determined by the College in General Meeting at or before the time of dissolution, or in default thereof then to some other charitable object.

12. Lastly, We do hereby for Us, Our Heirs or Successors grant that these Our Letters or the enrolment thereof shall be in all things good, firm, valid, sufficient and effectual in law notwithstanding any omission, imperfection, defect, matter, cause or thing whatsoever to the contrary thereof in these Our Letters contained and shall be taken, construed and adjudged in the most favourable and beneficial sense and to the best advantage of and for the College as well in Our Courts of Record as elsewhere any recital, mis-recital, uncertainty or imperfection whatsoever notwithstanding .
